Distributorship Agreement 12 provisions

1. I am of legal age upon entering into this Distributorship Agreement, qualified, capable, and competent to undertake any of the obligations of the Independent Distributor as set forth herein and, in the Policies, and Procedures.
2. This application shall constitute a binding agreement between me and SYNERGREENS upon receipt and due approval of the Company; SYNERGREENS reserves the right to accept or reject any application for any reason it may deem appropriate, in accordance with the terms and conditions set forth in the Policies and Procedures, as such now exist or may hereafter be amended.
3. I attest that I personally participated and was personally presented with the SYNERGREENS Business Presentation and Product Orientation prior to selling the SYNERGREENS products.
4. As a SYNERGREENS Independent Distributor, I am an independent contractor under the terms of this agreement and not an agent, employee, or legal representative of my sponsor or SYNERGREENS. and will in no way represent myself as such; That I have no power to bind SYNERGREENS to any obligation and that I am solely responsible for all applicable income, sales, social security, unemployment or other taxes. licenses and fee arising out of Independent Distributor activities hereunder.
5. As an Independent Distributor, I undertake to make clear and reiterate the following: (a) that no earnings are guaranteed by SYNERGREENS or its programs; (b) no Independent Distributor will earn money solely by sponsoring: (c) commissions are based on product sales; (d) that there are no exclusive territories for Independent Distributors in the program.
6. I understand that I should secure an express written approval from the management of SYNERGREENS, or any of its authorized representative prior to making any form of advertisement in mainstream media, social networking sites, internet, and online media, including, but not limited to audio, visual and printed materials, other than the Company's existing advertisement and marketing materials and postings on its official website and official social media pages;
7. I am aware that making any misrepresentations, revisions, modifications, or alterations of the Company's trademark, brand, logos, marks, marketing plan, products, advertisement, marketing materials, and other company provided marketing tools, is strictly prohibited. Otherwise, it shall be deemed violation of the Company's rules, regulations and policies.
8. As a general rule, should my spouse join SYNERGREENS as an Independent Distributor, he/she shall automatically be under my sales team. Otherwise, this shall constitute violation of the Cross-lining provision as defined on the Code of Conduct and Ethical Standard;
9. I affirm to exclusively join the sponsor I personally indicated in this Application Form and that my membership/distributorship if lifetime with no expiration.
10. I am fully aware that SYNERGREENS reserves the right to modify, revise, and update its existing policies and business plan for the best interest of the company and its Distributors with 30 days prior notice.
11. As an Independent Distributor, I am bound to abide by the Company's rules and regulations, and faithfully uphold the Code of Conduct and Ethical Standard of SYNERGREENS. Should I commit any form of violation, and be subjected to the necessary sanctions and penalties as provided in the Code of Conduct and Ethical Standard, 1 voluntarily release SYNERGREENS from any liabilities these sanctions and penalties may cause as a consequence.
12. Venue and jurisdiction for any action pertaining to this Agreement, or any disagreement, or claim between the parties hereto shall be filed and heard in Philippines. The laws of Philippines shall govern this Agreement.
